Current approaches to internal control – often driven by compliance to the requirements of the Sarbanes Oxley Act – are simply deficient. They leave a material gap between expectations of internal control and actual control performance in the firm. This leaves directors perplexed or, worse, creates an illusion of control in which directors believe control is more effective than it really is.
